Terms & Conditions
Welcome to Charis DigiTech. These Terms and Conditions (“Terms”) govern your use of our services, including branding, web design, development, professional printing, and publishing. By engaging with Charis DigiTech, you agree to be bound by these Terms.
1. Scope of Work and Quotes
1.1 Project Agreement
All work undertaken by Charis DigiTech will be based on a written proposal, quote, or Statement of Work (SoW) provided to the Client. The scope of work is defined exclusively within that document.
1.2 Price and Validity
Quotes are valid for thirty (30) days from the date of issuance. Any additions or changes requested by the Client after the quote is accepted will be considered “Scope Creep” and may result in additional charges and project timeline adjustments.
2. Payments and Billing
2.1 Deposit
A non-refundable 60-70% deposit of the total project fee is required before any creative or technical work can commence.
2.2 Payment Schedule
The remaining 30-40% balance is due upon substantial completion of the project, and before the final files are released (e.g., website launch, print fulfillment, release of final logo files etc.).
2.3 Late Payments
Invoices are due upon receipt unless otherwise specified. Charis DigiTech reserves the right to suspend work or withhold final deliverables until all outstanding payments are received.
3. Client Responsibilities
3.1 Content and Assets
The Client is responsible for providing all necessary content (text, images, logos, data) required for the project in a timely manner. Delays in providing content will directly impact the project timeline.
3.2 Timely Feedback
The Client agrees to provide consolidated, clear, and timely feedback on drafts and proofs. Delays in feedback exceeding five (5) business days may result in a project pause and necessitate a revised timeline.
4. Revisions and Intellectual Property (IP)
4.1 Revision Limits
All projects include a specified number of revision rounds (typically two or three) as outlined in the SoW. Additional revisions beyond the agreed limit will be billed at an hourly rate.
4.2 Client Ownership
Upon full payment of all invoices associated with the project, the Client is granted full intellectual property rights for the final deliverables (e.g., final logo design, live website, final printed materials).
4.3 Company Ownership
Charis DigiTech retains ownership of all working files, raw design assets, custom templates, underlying code frameworks, and unpublished concepts or rejected designs. These files are not automatically transferred to the Client.
5. Warranties and Liability
5.1 Website Warranty
Charis DigiTech warrants that any developed website will function as specified in the SoW for a period of thirty (30) days after launch. This warranty does not cover issues caused by third-party software updates, plugins, or Client modifications.
5.2 Printing & Publishing
Charis DigiTech warrants that printed materials will substantially meet industry-standard quality and match the final approved proofs. The Company is not liable for errors in content, spelling, or grammar that were present in the final proof approved by the Client.
5.3 Limitation of Liability
Charis DigiTech is not liable for any indirect, incidental, or consequential damages, including loss of profits, arising from the use or inability to use the services provided.
6. Termination of Agreement
6.1 Termination by Client
If the Client terminates the project prior to completion, the 50% deposit is forfeited. The Client will also be billed for any additional work completed beyond the scope covered by the initial deposit.
6.2 Termination by Company
Charis DigiTech reserves the right to terminate the project if the Client is non-responsive for more than thirty (30) days, violates these Terms, or fails to make required payments.
7. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Nigeria.
